Welcome to Home Keys Please. These Terms and Conditions ("Terms") govern your use of the Home Keys Please website, services, and referral program. By accessing our website or using our services, you agree to be bound by these Terms.

Home Keys Please is a marketing brand and referral service. All real estate brokerage services and transactions are conducted exclusively through One America Real Estate, LLC, a licensed Michigan real estate brokerage company.

2. SERVICE DESCRIPTION

2.1 Referral Service

Home Keys Please operates as a real estate referral service connecting buyers and sellers with licensed real estate agents through our partner brokerages, including but not limited to Keller Williams, RE/MAX, Century 21, Compass, and others across all 50 states.

2.2 Cash Back and Fee Reduction Programs

Buyer Program: Eligible buyers may receive up to 1% cash back on qualifying home purchases
Seller Program: Eligible sellers may receive reduced listing fees of up to 1.5% on qualifying home sales

All financial incentives are subject to eligibility requirements, transaction completion, and compliance with applicable state and federal laws.

3. ELIGIBILITY AND PARTICIPATION

3.1 General Eligibility

To participate in Home Keys Please programs, you must:

Be at least 18 years of age or the age of majority in your jurisdiction
Be legally authorized to enter into real estate transactions in your state
Provide accurate and complete information during registration
Be affiliated with a participating partner organization (credit union, employer, or qualifying group) where applicable

3.2 Partner Member Benefits

Enhanced benefits may be available to members of partner organizations including credit unions, companies, and local hero programs. Eligibility for partner-specific benefits is subject to verification.

4. REAL ESTATE BROKERAGE RELATIONSHIP

4.1 Agency Disclosure

Home Keys Please facilitates referrals but does not provide real estate brokerage services directly. All brokerage services are provided by One America Real Estate, LLC or affiliated partner brokerages in accordance with applicable state laws.

4.2 Agent Representation

When you are referred to an agent through Home Keys Please:

You will enter into a separate agency agreement with the agent and their broker
The agent's fiduciary duties are governed by state law and the agency agreement
Home Keys Please is not a party to your real estate transaction

4.3 No Guarantee of Service

While we strive to connect you with qualified professionals, Home Keys Please makes no warranties or guarantees regarding the performance, availability, or suitability of any referred agent or brokerage.

5. CASH BACK AND INCENTIVE PROGRAMS

5.1 Buyer Cash Back Program

Eligibility Requirements:

Must be referred through Home Keys Please before initial agent contact
Must work exclusively with the referred agent through closing
Must complete a qualifying purchase transaction
Property must not be listed by the buyer's agent or their brokerage
Transaction must comply with all applicable laws and regulations

Payment Terms:

Cash back is calculated as a percentage of the gross commission received by One America Real Estate, LLC or the referring brokerage
Payment is made within 30-45 days after transaction closing and receipt of commission
Cash back amounts may vary based on transaction type, state regulations, and commission structures
Maximum cash back is subject to state law limitations

Exclusions:

New construction purchases (unless otherwise specified)
FSBO (For Sale By Owner) transactions
Properties where the buyer's agent is also the listing agent
Transactions where cash back payments are prohibited by law or lender requirements
Transactions that do not result in a commission payment to the referring party

5.2 Seller Fee Reduction Program

Eligibility Requirements:

Must be referred through Home Keys Please before listing agreement execution
Must list property exclusively with referred agent through closing
Must complete a qualifying sale transaction
Property must meet minimum listing price requirements where applicable

Fee Structure:

Reduced listing fees of up to 1.5% compared to standard rates
Final fee percentage determined by agent, property type, and market conditions
Fee reduction reflected in listing agreement with One America Real Estate, LLC or partner brokerage

Exclusions:

Properties requiring extraordinary marketing or services
Luxury properties above certain price thresholds (as determined by broker)
Commercial properties
Transactions where fee reductions violate state regulations

5.3 General Incentive Terms

All incentive programs are subject to modification or termination at any time
Home Keys Please reserves the right to verify eligibility and deny benefits for any reason
Incentives may not be combined with other promotional offers unless explicitly stated
Tax implications are the sole responsibility of the recipient
Fraudulent claims will result in immediate disqualification and possible legal action

6. USER OBLIGATIONS AND CONDUCT

6.1 Accurate Information

You agree to:

Provide true, accurate, current, and complete information
Maintain and promptly update your information
Notify us immediately of any unauthorized use of your account

6.2 Prohibited Activities

You may not:

Provide false or misleading information
Attempt to circumvent the referral process
Contact agents or brokerages directly to avoid referral requirements
Use the service for any illegal or unauthorized purpose
Interfere with or disrupt the service or servers
Collect information about other users without consent
Violate any applicable laws or regulations

6.3 Professional Conduct

Users must conduct themselves professionally in all interactions with Home Keys Please staff, agents, and other parties involved in transactions.

7. WEBSITE USE AND INTELLECTUAL PROPERTY

7.1 Limited License

Home Keys Please grants you a limited, non-exclusive, non-transferable license to access and use the website for personal, non-commercial purposes.

7.2 Intellectual Property Rights

All content on the Home Keys Please website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is the property of Home Keys Please or its licensors and is protected by copyright, trademark, and other intellectual property laws.

7.3 Restrictions

You may not:

Reproduce, distribute, modify, or create derivative works from website content
Use any content for commercial purposes without written permission
Remove or alter any copyright, trademark, or other proprietary notices

Home Keys Please maintains referral relationships with various real estate brokerages. We do not control and are not responsible for the actions, services, or policies of these third parties.

9.3 Third-Party Services

Any services you receive from third parties (including real estate agents, lenders, inspectors, or other professionals) are subject to their own terms and conditions.

10. DISCLAIMERS AND LIMITATIONS OF LIABILITY

10.1 Service "As Is"

HOME KEYS PLEASE PROVIDES ITS SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee of Results

We do not guarantee:

That you will be matched with an agent or complete a transaction
Any specific cash back amount or fee reduction
The availability, quality, or performance of referred agents
Transaction outcomes or terms
That the service will be uninterrupted, timely, or error-free

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOME KEYS PLEASE, ONE AMERICA REAL ESTATE, LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or use
Damages arising from your use or inability to use the service
Damages arising from real estate transactions or agent performance
Any damages exceeding the greater of (a) $100 or (b) the amount of cash back or fee reduction received in the relevant transaction

10.4 State-Specific Provisions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10.5 Real Estate Transaction Risks

You acknowledge that real estate transactions involve significant financial and legal risks. You are responsible for:

Conducting your own due diligence
Obtaining independent legal and financial advice
Understanding all transaction documents before signing
Complying with all contractual obligations

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Home Keys Please, One America Real Estate, LLC, and their respective officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your violation of these Terms
Your violation of any law or third-party rights
Your use of the service
Any information you provide
Your real estate transaction or interactions with agents

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law provisions.

12.2 Venue

Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Oakland County, Michigan, and you consent to the jurisdiction of such courts.

12.3 Arbitration

For disputes involving amounts less than $10,000, you agree to first attempt to resolve the dispute through good-faith negotiation. If negotiation fails, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association.

12.4 Class Action Waiver

You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative action. Class arbitrations and class actions are prohibited.

12.5 Time Limitation

Any claim arising from these Terms or the service must be filed within one year after the claim arose, or be forever barred.

13. MODIFICATIONS TO TERMS

13.1 Right to Modify

Home Keys Please reserves the right to modify these Terms at any time. We will provide notice of material changes by:

13.2 Continued Use

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, including but not limited to:

Violation of these Terms
Fraudulent activity or misrepresentation
Conduct that harms Home Keys Please, its users, or third parties
Failure to meet eligibility requirements

14.3 Effect of Termination

Upon termination:

Your right to use the service immediately ceases
Provisions that should survive termination (including liability limitations, indemnification, and dispute resolution) remain in effect
You remain responsible for any pending transactions and obligations incurred before termination

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Home Keys Please.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

Home Keys Please is not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or technical failures.

15.6 Independent Contractor

The relationship between you and Home Keys Please is that of independent parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

Real estate brokerage services are provided by appropriately licensed entities in each state. License information is available upon request.

16.2 Referral Fee Disclosure

Home Keys Please receives referral fees from partner brokerages and agents for successful referrals. These fees do not increase your costs as they are paid from the commission earned by the agent.

16.3 Cash Back Restrictions

Some states restrict or prohibit cash back payments to buyers. In such states, alternative benefits may be offered where permissible, or the program may not be available.

16.4 Fair Housing Compliance

Home Keys Please and One America Real Estate, LLC comply with all federal, state, and local fair housing laws. We do not discriminate based on race, color, religion, sex, national origin, familial status, disability, or any other protected class.
